TERMS & CONDITIONS
AGREEMENT – This agreement between Studio Red (herein "Creator") and the undersigned client (herein "Client") or agency representative (herein "Agency") governs the project described in the accompanying Estimate and, along with these Terms & Conditions, constitutes the entire agreement between the parties. The Fees and Expenses are based on the Job Description as presented by the Client (or Agency) and summarised above. The Client (or Agency) is responsible for ensuring the presence of an authorised representative at the shoot to approve the Creator's interpretation of the project. If a Client (or Agency) representative is not present, the Creator's interpretation shall be deemed acceptable. Any changes, whether made orally or in writing, may result in additional charges. The expenses are estimated in good faith, and a 10% variance applies to the project total. The Client (and/or Agency) hereby indemnifies and holds the Creator harmless against any and all liabilities, claims, and expenses, including reasonable legal fees, arising from the Client's (or Agency's) use of the Work. Estimates are valid for 15 days.
PAYMENT – A booking fee of £150 is required to secure the date and time. This fee is non-refundable. However, if the client cancels the job within 48 hours of the scheduled date and time, the booking fee may be transferred once to secure a new date, subject to the photographer’s availability.
The Client (or Agency, if the project is commissioned and agreed by the Agency) must make payment on delivery of the digital images, unless otherwise agreed in writing. Where payment terms of 30 days from the date of invoice have been agreed, interest will be charged on overdue payments at 4% above the Bank of England base rate.
COPYRIGHT, LICENSING – All Work created by the Creator and the associated copyright remain the sole and exclusive property of the Creator. Grant of any reproduction rights to the Client is conditioned upon receipt of payment in full from the Client (or Agency). All rights not expressly granted in the Job Description above shall be reserved by the Creator. Modification of Work and/or incorporation of Work in any layout or concept shall not constitute a joint or derivative work. If the Client (or Agency) wishes to make any additional uses of the Work not covered in the initial agreement, the Client shall obtain permission from the Creator and pay an additional fee to be agreed upon if necessary.
Images used without permission, or used with permission but without the correct credit, will be considered a breach of copyright. The correct credit must be as follows:
- For social media: Photography: @studiored_photo_uk 
- For printed materials and websites: Photography: Studio Red 
Failure to provide proper credit will result in the application of a 100% uplift to the standard license fee, in addition to the applicable license fee, as failure to credit the Photographer constitutes a violation of their moral right to be identified as the author of the work.
LICENSING OF IMAGES AFTER THE COMMISSION – No Image may be reproduced, in whole or in part, by any means—including, but not limited to, slide projection, artist’s reference, illustration, layout, or presentation—without the Creator’s specific written permission. The Client must inform the Creator of how and when an Image is intended to be used, after which the Creator will determine whether to grant a licence and, if so, under what terms.
Unless a third party has been included in the commission, any third-party contractors, partners, or suppliers must arrange their own licence per image after the shoot. The licence fee per image will depend on the intended usage.
- Minimum Licence Fee: £120.00 per image. 
- Licensing for Corporations and Product Manufacturers: Companies with broader usage requirements—such as product manufacturers or businesses operating in the corporate sector—must obtain licences based on usage, duration, and territory. For instance, if images are to be shared with distributors across multiple countries or used without credit, additional licensing fees will apply. 
Each company’s licensing needs are unique and linked to specific usage requirements. Clients should enquire with the Creator to obtain a tailored licensing agreement.
RIGHT TO CREDIT – The Photographer must be credited for all editorial usage, as well as in any other instances specified in the estimate. If an image is published online or shared on social media, proper credit must be given by mentioning Renato O’Leary | Studio Red in the accompanying caption. In cases where an image is used without a valid licence (constituting an infringement), the Photographer reserves the right to apply a 100% uplift to the standard licence fee for failure to provide credit. This is in addition to the applicable licence fee, as failure to credit the Photographer constitutes a violation of their moral right to be identified as the author of the work.
CANCELLATIONS, WEATHER, POSTPONEMENTS – In the event of a cancellation or postponement of a shoot by the Client (or Agency) at any time after shoot confirmation/award, the Client (or Agency) shall pay all expenses incurred by the Creator up to the time of cancellation, plus a fee equal to 50% of all Creative and Licensing fees quoted above. If a shoot is cancelled within one week of the confirmed shoot day, the Client or Agency shall pay up to 100% of Creative fees, Licensing fees, and Expenses quoted above. If a shoot is postponed due to weather, the Client will be responsible for all Expenses incurred on each Weather Day, plus a Creator fee to be agreed upon.
FORCE MAJEURE – Neither the Creator, Client, nor Agency shall be liable for failure to perform their obligations caused by any circumstances beyond reasonable control, including but not limited to acts of God, epidemics, pandemics, floods, riots, fires, civil unrest, acts of war or terrorism, or failure of energy sources.
TRAVEL – In the UK, travel outside the M25 is charged at £0.55 per mile. For central London, parking and congestion charges apply. For international shoots, all expenses—including travel, accommodation, and food must be covered by the client.
DELIVERY – Depending on the complexity and image number, asset delivery varies from one week to fifteen days unless otherwise advised.
POST-PRODUCTION/RETOUCHING – Work will be delivered in a timely fashion, within a mutually agreed-upon schedule. Any additional retouching requested by the Client (or Agency) beyond the scope of the Estimate above will be quoted on a case-by-case basis
APPLICABLE LAW – This agreement is governed by the laws of England and Wales. Any disputes arising from or related to this agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales, to which all parties agree to submit.
